How we agree to work with you

What follows is the agreement between you and us when you use GracePeak Labs ("the service"). Registering for or using the service means you accept it. It's not long — please read it through.

Using the service

You must be of the legal age to use services like this in your jurisdiction, and you'll comply with applicable law.

You can't use the service for unlawful purposes, to infringe others' rights, or to harass anyone. See section 6 for the full Acceptable Use list.

Accounts, workspaces, permissions

You provide a real, working email at signup, and you're responsible for activity under your account. Keep your password and tokens safe; if something leaks, rotate it and tell us.

Workspace owners and admins have full control over membership and content visibility within the workspace. Other members' permissions are set by the owner via roles.

Plans and billing

We offer two plans: Free and Pro. See /pricing for the quotas. Pro is currently early-access priced; when public pricing rolls out and the price rises, subscribers from this phase keep their original price.

Usage above the included quota is billed by consumption. Failed tasks (runtime drops, model timeouts, manual cancellations) don't burn credits.

Payment is processed through a professional third-party payment provider. We don't see your full card or bank account details.

Refunds: within 7 days of purchase, if usage is still within the bundled allowance, we refund the full amount. After that, pro-rated by unused time.

Your content and rights

Everything you create or upload in the service (work items, comments, files, agent configuration, skills) belongs to you (or your workspace) outright.

To actually run the service (store, display, back up, hand to agents as you instruct), you grant us a non-exclusive, worldwide, revocable license — strictly limited to delivering the product.

When your account is deleted, the license terminates and the content is physically deleted per section 6 of the Privacy Policy.

AI output and agent behavior

Agent output comes from third-party language models. It can be factually wrong, hallucinated, or otherwise inappropriate. Review it before relying on it for important decisions, public publishing, or automated operations.

You're responsible for the side effects of actions agents take within your authorization scope (CLI, browser, external connectors). The mechanisms we provide — "awaits your OK before execution," "on the record end to end," "revocable anytime" — exist to give you control and an audit trail; using them sensibly is on you.

Acceptable Use

You can't use the service to: upload illegal content, gain unauthorized access to other systems, send spam or harassment, impersonate others, evade quotas or security mechanisms, reverse-engineer or DoS the service, or violate export controls or sanctions.

We may restrict access immediately for violations of the above; serious cases mean account termination.

Suspension and termination

You can close your account anytime under Preferences → Account. We may also suspend or terminate access in case of sustained violations, non-payment, or security risk — typically with a notice and remediation window first.

After termination, your account and content are handled per the Privacy Policy. Some terms survive (intellectual property, liability limits, etc.).

Disclaimers and liability

The service is provided "as is." We make best-effort guarantees about availability and security, but we don't make implied or express warranties of merchantability, fitness for a particular purpose, uninterrupted operation, or freedom from errors.

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, punitive, lost-profit, or lost-data damages arising from your use of the service. Our aggregate liability for direct damages is capped at the amount you paid us for the service in the 12 months before the incident.

Changes to these terms

Material changes will be announced via in-product notice and email 14 days in advance, and the "Last updated" date will move. Continued use after the effective date constitutes acceptance. If you don't accept the new terms, you can close your account before they take effect.

Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Disputes arising from these terms shall be submitted to the Hong Kong International Arbitration Centre.
